(“we,” “our,” “us”). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Account Requirements
- -Accurate information required
- -Minimum age: 18 years
- -Business and commercial use only
- -No unauthorized access or resale
- -No bypassing security mechanisms
Payment Terms
- -Subscription or SOW-based fees
- -Billed in advance in USD
- -No refunds for partial periods
- -Suspension for late payments
- -User responsible for taxes and fees
1. Agreement to Terms
By using our websites, AI systems, software, or related tools, you confirm that you have read, understood, and agree to these Terms. These Terms apply to all users, including dealership staff, managers, administrators, and partners.
5. Acceptable Use & Messaging Compliance
- -Comply with TCPA, CAN-SPAM, CASL, and local privacy laws
- -Obtain express consent before promotional communications
- -Maintain proof of consent and honor all opt-outs immediately
- -No illegal, abusive, or deceptive activities
- -Respect quiet hours for automated campaigns
6. Data Usage
- -You retain ownership of your data and customer content
- -Limited license granted for service delivery
- -Aggregated/de-identified data used for improvements
- -Customer data never exposed to other users
7. Service Levels & Support
- -Target uptime: 99.9% (excluding maintenance)
- -Support: Monday-Friday, 9 AM-6 PM EST
- -External platform delivery times not guaranteed
8. Intellectual Property
- -All software and content owned by us or licensors
- -Training materials owned by us or our licensors
- -No copying, distribution, or modification without consent
- -No reverse-engineering permitted
9. Third-Party Services & Platform Risk
Our Services may integrate with or rely on third-party systems such as CRMs, telephony providers, and social media platforms (including Facebook, Instagram, and Google). You acknowledge and agree that:
- -Each third-party platform enforces its own terms of service, rate limits, and automation policies.
- -Any account restrictions, blocks, or bans by Facebook or other third parties are the sole responsibility of the user.
- -Automated posting or messaging may be flagged as spam under certain conditions. You assume full responsibility.
- -We are not responsible for outages, suspensions, or data loss caused by external systems.
10. AI & Automation Limitations
- -AI outputs are probabilistic and may contain inaccuracies, outdated information, or incomplete suggestions.
- -All AI-generated messages, sales responses, and marketing content must be human-reviewed before publishing.
- -Training materials and coaching frameworks are educational only and do not constitute legal, HR, or compliance advice.
- -We disclaim all responsibility for user-published content generated through automation or AI tools.
- -Users remain fully responsible for how AI-generated information is applied in their business operations.
11. Platform Conduct & Prohibited Uses
Users must not:
- -Engage in mass unsolicited communication or spamming.
- -Circumvent Facebook, CRM, or platform rate limits.
- -Scrape or harvest data from third-party services without authorization.
- -Use automation for deceptive or fraudulent purposes.
- -Attempt to bypass security controls or gain unauthorized access.
- -Upload malware, viruses, or harmful code.
- -Violate any applicable laws, including export control, anti-money laundering, or sanctions regulations.
12. Disclaimers & Limitation of Liability
AS-IS Basis: The Services are provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
No Guarantee of Results: We do not guarantee specific sales increases, lead volumes, ROI, or performance outcomes. Results vary based on user implementation and market conditions.
Limitation of Liability: To the maximum extent permitted by law, Automotive Sales Operating System, Inc. and its affiliates, officers, and employees shall not be liable for indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, data, goodwill, or business opportunities; damages arising from third-party platform actions, outages, or data loss; or damages resulting from unauthorized access, user error, or misuse of Services.
In no event shall our total liability exceed the fees paid by you in the 12 months preceding the event giving rise to the claim.
13. Termination
- -You may cancel at any time with notice as specified in your agreement
- -We may suspend or terminate access for violations of these Terms
- -Data export available upon request during notice period
- -No refunds for early termination or partial periods
14. Indemnification
You agree to indemnify and hold harmless Automotive Sales Operating System, Inc. and its affiliates from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of third-party rights.
15. Dispute Resolution
- -Informal resolution first through good-faith negotiation
- -Binding arbitration if negotiation fails
- -Governed by the laws of the State of Idaho
- -Waiver of class action rights
16. Changes to Terms
We may update these Terms from time to time. Changes will be posted with the updated "Last Updated" date. Continued use after changes constitutes acceptance. Material changes will be communicated via email or dashboard notice.
17. General Provisions
- -Entire agreement between parties
- -Severability: invalid provisions do not affect the rest
